Vice President, Thomas Bills called the Regular Board Meeting of the Woodrow-Osceola Water Supply Corporation to order, at 6:30 p.m., May 08, 2012. All Directors were present with the exception of President Richard Greenhill. Also, Manager, Malcolm Tucker was present.

Item 6: Public Comment

Public Comment was moved next on the agenda. Two Realtors attended the meeting to express the desire to develop 169 acres in our CCN area. They were not on the agenda and were told they would need a Developers Packet and when all items had been completed, they would need to be placed on our agenda.

Item 2: Approve Minutes

Johnnie Bankston read the minutes from the April 10, 2012 Regular Board Meeting. Jane Morgan made a motion to accept the minutes, with one correction. John Milburn seconded. Vote was unanimous.

Item 3: Directors Source and Application of Funds

Malcolm Tucker presented the Source and Application of Funds. John Milburn made a motion to accept the Source and Application of Funds as presented. Linda Hasselstrom seconded. Vote was unanimous.

Item 4: Well #7

Malcolm stated, the plans for Woodrow Well had been sent to TCEQ for approval and notices placed in publications as required by USDA.

Item 5: Membership Changes

Charles Jones made a motion to accept No- New Memberships, 4- Transfers, No- Sellbacks and No- Revokes. Jane Morgan seconded. Vote was unanimous.

Item 7: Directors and Manager Comments

Sandra Chilcutt stated she was glad the water loss was down. Johnnie Bankston asked Malcolm, if the double-hook-up on FM934 west, about ½ mile from FM933 had been paid. The answer was No, and she stated it had been a year and it needed be paid. Thomas Bills asked Malcolm, if he had the employee evaluations completed and he said he did. He handed Thomas the evaluations and stated he made no recommendation on salary increases. Also, he said Linda Miller was being placed on the June agenda and she had contacted Hill County Water, but is not in their CCN. He recommends a larger meter to accommodate 4 to 5 travel trailers at the site for 5 to 6 months and set forth stipulations to follow. Johnnie Bankston stated, she felt that was a bad ideal and we have no way to police her area, making sure the stipulations were followed. Sandra Chilcutt stated the same rules should apply as for the realtors.

Item 8: Executive Session

Thomas Bills told Malcolm Tucker the Board would adjourn to executive session and he was excused, if he wished, he could go home. The Board adjourned to executive session at 7:55 p.m. and reconvened at 8:35 p.m. with no action taken.

Item 9: Adjourn

John Milburn made a motion to adjourn at 8:40 p.m. Ray Mershawn seconded. Vote was unanimous.
