President Richard Greenhill called the Regular Board Meeting of the Woodrow-Osceola Water Supply Corporation to order at 6:30 p.m., Tuesday, May 10, 2011. All Directors were present, with the exception of Thomas Bills and James Flanery. Also, manager Malcolm Tucker was present.

Item 2: Approve Minutes

Johnnie Bankston read the minutes from the April 12, 2011 Regular Board Meeting. Ray Mershawn made a motion to except the minutes as read. Jane Morgan seconded. Vote was unanimous.

Item 3: Directors Source and Application of Funds

Malcolm Tucker presented the Source and Application of Funds. After discussion, Sandra Chilcutt made a motion to accept the Source as presented. Jane Morgan seconded. Vote was unanimous.

Item 4: Account #1240 Alvin/Jennifer Adler Revoke

Sandra Chilcutt made a motion to re-instate the Adler’s #1240, due to the payment being placed in drop box on April 12, 2011 Regular Board Meeting. The item was on the April 12, 2011 agenda and the Board voted to revoke the account, unaware the payment was being made. Linda Hasselstrom seconded. Vote was unanimous.

Item 5: Well #7

Nothing to report at this time.

Item 6: Well #6

Attorney, Martha McGregor stated THI contractors were not listed with the State of Texas as being a corporation, so we will now wait for this problem to be solved. Then the contracts will again be signed by Richard Greenhill and Johnnie Bankston and sent back to USDA and then sent to Austin for attorneys to do whatever. We wait yet again!

Item 7: Prairie Ground Fees

Terry Kelly has gotten a budget from the Prairielands Groundwater Conversation and states he is coming up with lower fees. A meeting will take place May 28, 2011, at the Holiday Inn in Alvarado, at 3:00 p.m. Malcolm Tucker will be in attendance, as well as some Directors.

Item 9: Membership Changes

Linda Hasselstrom made a motion to accept 3 new memberships, 2 Transfers, 1 Sellbacks and no revokes. John Milburn seconded. Vote was unanimous.

Malcolm, discussed the 5 year budget with the Board and stated he would be happy to answer any question or make changes. Johnnie Bankston stated it would take a lot of time to go over the budget and the high priority is Well #6 and #7.

Item 11: Directors and Manager Comments

Sandra Chilcutt and Linda Hasselstrom thanked Malcolm for his work on the 5 year budget. Sandra said he was “thunkin outside the box”. Malcolm stated, Bill SB573 for landowners with 25 acres or more could be removed from a water systems CNN and could potentially remove the water systems lines and become a water entity themselves. Tom Duck with TRWA is asking water systems to contact your local representative, which for WOWSC would be Jim Pitts and ask that he move very cautiously. Malcolm stated he will contact Mr. Pitts on our behalf. Richard Greenhill asked. what benefit it is to the corporation for an employee to sell their vacation back. Malcolm said the employee gets the money, but we get the benefit of not being without an employee. Also, Richard asked, if the contract for Well #6 had been located. Malcolm, stated no, he would try to have it by Friday, May 13, 2011.

Item 12: Executive Session

The Board adjourned to executive session at 8:15 p.m. Upon reconvening at 9:05 p.m. Linda Hasselstrom made a motion effective May 13, 2011, to give a one time appreciation bonus to full-time employees of $200.00. In addition the two office personnel will be salaried and Teena Worbington will be salaried at $23,500.00. John Milburn seconded. Vote was unanimous. Ray Mershawn made a motion to give the part-time employee a $50.00 bonus. John Milburn seconded. Vote was unanimous.

Item 13: Adjourn

Jane Morgan made a motion to adjourn at 9:15 p.m. Linda Hasselstrom seconded. Vote was unanimous.
