Vice President, Thomas Bills called the Regular Board Meeting of the Woodrow-Osceola Water Supply Corporation to order at 6:30 p.m., June 12, 2012. All Directors were present with the exception of President Richard Greenhill and Linda Hasselstrom. Also, l member and Manager, Malcolm Tucker were present.

Item 9: Public Comment

Vice President, Thomas Bills moved Public Comment next on the agenda. Barbara Soule’ spoke to the Board about property she was purchasing on FM1363. Mr. Beatty the owner of the adjacent property owns two meters and was going to transfer one of his meters to the Soule’s. Malcolm stated, the Board needed to be aware of the unusual situation and stated they would be responsible for the cost of moving the meter. The Board said, they would discuss the transfer and she would be given an answer the following day. The Board discussed the matter, due to this not being a normal transfer, Malcolm was asked to contact TRWA to make certain there was no rule not to allow the transfer.

Item 2: Approve Minutes

Johnnie Bankston read the minutes from the May 08, 2012 Regular Board Meeting. Ray Mershawn made a motion to accept the minutes as read. Sandra Chilcutt seconded. Vote was unanimous.

Item 3: a. Linda Miler-RV Park b. PR 149 Extension

The Board was informed that Ms. Miller had purchased one meter for her barn at this time and if any additional RV’s stay on the property they were on their own, according to Ms. Miller.
Also, Malcolm discussed with the Board on PR149 six people living on the private road were wanting meters on the system and the only water line to accommodate them is on Hwy 171. The Board stated the only thing the system could do would be after they purchase meters they would be placed at Hwy 171 and the members would then be responsible for laying and maintaining their own water lines to their property.

Item 4: Directors Source and Application of Funds

Malcolm Tucker presented the Source and Application of Funds. Charles Jones made a motion to accept the Source and Application of Funds as presented. Jane Morgan seconded. Vote was unanimous.

Item 5: Well #7

USDA and CNB are tying up lose ends and planning to close around July 1. 2012.

Item 6: Jawbone VFD Drive

Charles Jones made a motion to install a VFD Drive on the Jawbone Well at a cost of $13,656. Sandra Chilcutt seconded. Vote was unanimous. Also, if the corporation receives confirmation, that loan monies not spent on Well #6 are allowed for payment for the VFD Drive, the money will be replaced in the appropriate account.

Item 7: Employee Raises

Moved to Executive Session.

Item 8: Membership Changes

Sandra Chilcutt made a motion to accept No-New Membership, 2-Transfers, 1-Sellback and 1-Revoke-Marshal and Tammy Titus #1159. John Milburn seconded. Vote was unanimous.

Item 10: Directors and Manager Comments

John Milburn asked, if the cameras were working on the security system? Malcolm stated, the Internet Doctors were working at the elevated storage. Ray Mershawn asked, if we had heard anymore about the emergency tie-ins? Malcolm, said no we had much more to handle before we take up that issue. Johnnie Bankston reminded Malcolm the Board needed the Budget for 2012-2013 to review by the July meeting, asked if the double hook-up on west FM934 had paid for an additional meter and that we still need a recorder for meetings. Malcolm, said a letter had been sent to the double hook-up stating an additional meter is required, but no meter had been purchased.

Item 11: Executive Session

The Board adjourned to Executive Session at 8:00 p.m. Upon reconvening at 8:50 p.m. John Milburn made a motion for a 3% across the board employee increase per hour, effective the first pay period in July. Also, Eric Haffner will receive an equalization increase of 50 cents per hour plus the 3%. Charles Jones seconded. Vote was unanimous.

Item 12: Adjourn

John Milburn made a motion to adjourn at 8:45 p.m. Jane Morgan seconded. Vote was unanimous.
