President Bills called the Regular Board Meeting of the Woodrow-Osceola Water Supply Corporation to order at 6:30 p.m., February 09, 2015. All Directors were present with the exception of Linda Hasselstrom and John Milburn. Also, Manager Malcolm Tucker was present.

Item 2: Approve Minutes

Johnnie Bankston read the minutes from the January 13, 2015 Regular Board Meeting. Charles Jones made a motion to accept the minutes as read, with one correction. Jane Morgan seconded. Vote was unanimous.

Item 3: Directors Source and Application of Funds

Malcolm Tucker presented the Source and Application of Funds. Ray Mershawn made a motion to accept the Source and Application of Funds. Charles Jones seconded. Vote was unanimous.

Item 4: Membership Changes

Sandra Chilcutt made a motion to accept No New Memberships, 1-Transfer, No Sellbacks and No Revokes. Tim Rochelle seconded. Vote was unanimous.

Item 5: Vote on Annual Meeting

A motion was made by Sandra Chilcutt to have the Annual Meeting held at the Woodbury Community Center, BBQ Dinner catered by Bunkhouse BBQ of Clifton, at a cost of $7.00 for each person, with a limit of 2 meal tickets per membership and $9.50 for each additional meal, 3 minimum monthly water bills for members in attendance and (2) $50 cash prizes. Charles Jones seconded. Vote was unanimous. After ads were placed in the newspaper and on our website stating we were taking applications for positions for the Board of Directors, none were turned into the Corporation as of this date. Sandra Chilcutt made a motion to elect unopposed candidates Johnnie Bankston, John Milburn and Jane Morgan for 3 year terms, contingent on the February 13, 2015 deadline. Charles Jones seconded. Vote was unanimous.

Item 7: Directors and Manager Comments

Ray Mershawn stated he was asked, if the Corporation would consider doing repair work at a lower cost on private water lines. The answer was no, it would be too much liability for the Corporation. Sandra Chilcutt asked, if continuing education could be done on the internet. Malcolm said, yes they did as much as possible. Jane Morgan asked, if we had any temp employees and said the water loss was high. Malcolm said, no one had filled out an application for the temp positions and they were still working on the water loss. Malcolm informed the Board, the new pump replaced in the Osceola Well was having the same problems. He asked Ray Mershawn, if he could visit with him the next morning to discuss some ideas, because he was more knowledgeable on motors. Ray said, he would be available. Johnnie Bankston asked, if the field employees had thrown their safety vests away or behind the seats. Malcolm said, the field employees had commented that nothing had been mentioned in a long time. Sandra Chilcutt said, to remind them a lot had been done for them. Tom Bills asked, about the stands and flags. Malcolm said, they have been ordered.

Jane Morgan made a motion to adjourn at 7:30 p.m. Charles seconded. Vote was unanimous.
