The Annual Membership Meeting of the Woodrow-Osceola Water Supply Corporation was called to order at 6:30 p.m., April 05, 2014 by President Thomas Bills. The meeting was held at the Woodbury Community Center in Woodbury, Texas. All Directors were present with the exception of Charles Jones and John Milburn.

 

President Thomas Bills established a quorum stating we have 51 members in attendance and asked Secretary/Treasurer, Johnnie Bankston to read the minutes.

 

Johnnie Bankston read the minutes from the April 06, 2013 Annual Membership Meeting. Frank Burt made a motion to accept the minutes as read. J. T. Goldsmith seconded. Vote was unanimous.

 

President Bills asked, the Secretary/Treasurer to highlight the voting procedures. Johnnie Bankston stated, in 2012 TRWA passed a law changing Election Procedures for Members’ Meeting. She continued, by saying the most notable change was a quorum could be formed with no certain number of members. Also, for directors running unopposed the change allows for no election to take place and a Resolution declaring the candidates elected to the position. The Annual Members meeting must still take place.

 

President Billls asked, the Secretary/Treasurer to read the Resolution to the membership and record in the minutes. The Resolution was read and will be recorded.

 

President Bills, asked Manager, Malcolm Tucker to present the Financial and the Activity Reports. Malcolm presented the yearly financial report stating we had a good year, but still encountered many expenditures and many large ones such as replacing two trucks with 2014 models and upgrading radio read meters. On the plus side the VFD pumps have shown a reduction in electricity showing $109,000.00 2012-2013 from $129,000 2011-2012. Malcolm said, the Corporation was one of the best around and we could all be proud. The Well capacity we have should carry us at least 20 years, but surface water would be next and plans will need to be made.

 

During Public Comment several members asked when you could place applications for the Board. They were told it is placed on the internet and in the office. A member asked, if it could be placed on the water bills. The answer was yes we would place it on the bill.

 

For Directors comments it was the consensus that we appreciate the members in attendance, their support, the great staff we have in and out of the office and their fellow Directors for the good work they do and their attendance to the regular board meeting. It has been an honor to serve the Directors stated and they do their best.

 

President Bills stated we had concluded our business and asked for a motion to adjourn. Frank Burt made a motion to adjourn the business meeting at 7:00 p.m. Mr. Cargile seconded. Vote was unanimous.
