Vice-President, Bill Coleman called the reguiar board rneetj,{lg ofthe Woodrow Osceoh Water Supply Corporation to order at 6:45 p.m., Tuesday, April 11, 2006. All Directors were present, with the exception of President, Richard Greenhill, Sandra Chilcutt and John Milburn. Employees Dave Tomlinson, General Manager and Billie Lair were present, along with 12 members.

 

Item 2: James Waites – Election and Proxy Cards

 

Mr. Waites addressed the Board stating what he felt was a problem with several proxy cards – in his words the office told him one card was found and two were lost. Also, he said he asked who was on the Credentials Committee and to his surprise a Director for re-election was on the committee. He continued by saying everyone knew this was strictly against the rules. Levi Horne stated he felt it was strange Richard Greenhill called him after the Annual meeting to discuss two proxy cards in question. Billie Lair stated one of the cards in question was not a member.

 

Johnnie Bankston addressed Mr. Waites comment concerning the Credential Committee. She stated no where in the Corporation rules does it state a person running for re-election was not to be a committee member. What the rule states is, the Secretary-Treasurer acts as the Chairperson for the Credential Committee, along with at least 2 (two) other committee members. Also, she read from the Credential Committee meeting minutes on January 10, 2006. The procedure for verifying proxy ballots and registering votes was discussed. By unanimous vote, Richard Greenhill, President would handle all proxy ballots forms. The proxy-ballot forms will be picked up and opened by Mr. Greenhill and a appropriate list for counting would be recorded and kept by Richard until Saturday morning April 1, 2006, along with four additional members for the verification. Johnnie stated she and Jane Morgan removed themselves from collecting or counting proxies, which was the appropriate action to take, but not required. Mr. Waites asked Johnnie if she threw any proxies away. She stated no, she didn’t and she resented him asking. At that point he said he did not ask that, but he was told ‘yes’ that was his remark. Due to the unruly nature of members in attendance, it was the consensus ofthe Board to adjourn and reschedule the meeting at a later date.

 

The Board adjurned at 7:35 p.m.
